The U.S. Securities and Exchange Commission approved a new rule that lets exchanges trade tokenized shares of companies next month, even though lawmakers failed to pass the Clarity Act that was supposed to set out clear crypto regulations. The rule, announced on Friday, will allow firms to list digital tokens that represent realโ€‘world stocks on the same platforms that handle traditional securities. The decision comes as the crypto industry pushes for greater integration with mainstream finance.

Tokenized stocks are digital tokens that mirror ownership of a companyโ€™s shares, but they can be bought and sold in fractions, traded across borders, and settled more quickly than paper certificates. The Clarity Act, introduced by several lawmakers, aimed to give regulators a framework to supervise these digital assets and protect investors. When the bill stalled in Congress, the SEC stepped in to fill the regulatory void, arguing that a clear set of rules is needed to keep up with innovation and to prevent fraud.

Under the new rule, exchanges must register tokenized securities and follow the same Knowโ€‘Yourโ€‘Customer and Antiโ€‘Moneyโ€‘Laundering standards that apply to traditional stocks. Brokers will be able to offer tokenized shares to retail investors, and the SEC says the rule will reduce costs and increase access.
