Paramount Global and Skydance Media have reached a settlement with a coalition of twelve U.S. states and the Writers Guild of America, ending a lawsuit that sought to block Paramountโ€™s planned acquisition of Warner Bros. Discovery. The agreement was announced on Tuesday, after weeks of hearings in Washington, D.C., and a letter from California Attorney General Rob Bonta that warned the deal could lessen competition in film, television and streaming. The settlement does not constitute an endorsement of the merger, but it satisfies the statesโ€™ demand for concessions on market share and creator protections.

The lawsuit stemmed from growing alarm that the merger would concentrate too much power in the hands of a single media conglomerate. Critics argued that combining Paramountโ€™s film library, Skydanceโ€™s production slate and Warner Bros.โ€™ extensive catalog would give the new entity control over a majority of premium content and distribution channels. State attorneys general, led by California, feared higher prices for advertisers and consumers, reduced bargaining power for independent producers, and a possible squeeze on wages for writers and other talent. The Writers Guild had also filed a complaint, citing concerns that the merger could weaken collective bargaining agreements and erode safeguards for creative workers.

Under the settlement, Paramountโ€‘Skydance will divest certain nonโ€‘core assets, including a minority stake in a streaming platform, and agree to a fiveโ€‘year commitment to maintain open licensing terms for independent studios. The companies will also fund a $50โ€ฏmillion trust to support writer development programs overseen by the WGA. With the statesโ€™ objections addressed, the deal now moves to the Federal Trade Commission for final approval. Industry observers say the settlement could set a precedent for how large media consolidations are negotiated, balancing corporate growth with antitrust safeguards and creator rights.
