Geminiโ€™s publicly traded stock has sunk about 80% since its June 2023 IPO, reigniting rumors that the crypto platform could be a takeover target. The decline was most acute after the broader crypto market slumped in late 2023 and early 2024, wiping out investor confidence in many digitalโ€‘asset firms. The Winklevoss twinsโ€™ company, which went public through a specialโ€‘purpose acquisition company, opened at $12 per share and now trades near $2.40.

The fall reflects a perfect storm of market and regulatory pressures. A wave of bankruptcies, most notably the collapse of FTX, left many investors wary of crypto exchanges. At the same time, the U.S. Securities and Exchange Commission tightened rules on digitalโ€‘asset custodians, forcing Gemini to halt several of its highโ€‘margin products. Revenue fell from $500โ€ฏmillion in its first full year to just $180โ€ฏmillion last quarter, and the firm posted a net loss of $85โ€ฏmillion. The share price slide has erased roughly $1.5โ€ฏbillion of market value, putting the company well below its original valuation.

Analysts say the depressed price makes Gemini an attractive acquisition for larger players looking to expand into crypto. Wall Street notes point to Coinbase, which has been seeking to broaden its institutional footprint, and traditional financial firms such as Goldman Sachs, which have expressed interest in a cryptoโ€‘services arm. The Winklevoss twins have not ruled out a sale, but they have stressed that any deal must protect existing users and maintain the platformโ€™s security standards. Investor sentiment is mixed; some see a takeover as a lifeline, while others fear it could dilute the brandโ€™s independence.

The next few weeks could determine Geminiโ€™s fate. The board is expected to convene a special committee to evaluate offers, and the company may file a Form 8โ€‘K to disclose any material discussions. If a buyer emerges, the deal could close before
