Shares of Workday surged nearly 18% last Thursday after reports emerged that private equity firm Silver Lake is in discussions to take the human resources and finance software company private. The announcement reportedly increased Workday's market value from approximately $43 billion to nearly $51 billion, marking its best single-day performance since 2016. The trading activity was so significant that it led to multiple halts throughout the day.

The timing of these talks is critical. Workday has faced pressure this year due to concerns that advancements in artificial intelligence could disrupt its traditional business model. Additionally, in February, co-founder Aneel Bhusri returned as CEO, replacing Carl Eschenbach, which added to the company's instability. Despite the recent share price jump, Workday's stock remains about 17% lower than its 52-week high of $249.85. This backdrop suggests that the interest from Silver Lake may reflect a belief that fears surrounding AI's impact on the business are overstated and that Workday's cash flows can sustain a leveraged buyout.

Workday's financials show a mixed picture. The company reported $9.85 billion in revenue over the past year, up 13.3% from the previous year, although this growth rate has slowed compared to its historical performance. Operating margins have improved significantly, climbing to 7.5% in fiscal 2026, with net income rising by about 74% to $847 million. Workday also generated approximately $2.97 billion in free cash flow, which accounts for about 30% of its revenue. These figures indicate a shift toward greater profitability, even as sales growth decelerates.

Looking ahead, the outcome of the talks with Silver Lake remains uncertain, as no specific terms or prices have been disclosed. Even if no deal materializes, the mere interest from a deep-pocketed buyer could signal to the market that Workday's fundamentals are stronger than perceived. Investors will be closely watching the companyโ€™s performance in the coming months, as it navigates the challenges presented by evolving technology and market conditions.
