Keros Therapeutics, Inc. announced on July 30 that it has triggered a $20 million milestone payment from Takeda Pharmaceutical Company Limited. This payment follows the first patient being dosed in the Phase 3 ELRiSE MDS clinical trial, which is testing elritercept for treating anemia associated with low-to-intermediate-risk myelodysplastic syndromes. Keros, which has a global licensing agreement with Takeda established in January 2025, previously received a $200 million upfront payment and is eligible for over $1.1 billion in additional milestone payments and tiered royalties. The company plans to distribute 25% of the net cash from this milestone to its shareholders.

Keros's recent milestone comes amid a challenging financial landscape for the clinical-stage biotech firm. In its Q2 2026 results, Keros reported zero revenue, a significant drop from $18.2 million in Q2 2025, and a net loss of $28.7 million. Despite this, Keros managed to narrow its losses from $30.7 million a year prior, largely due to a decrease in research and development expenses, which fell to $22.3 million from $43.5 million. This reduction is attributed to offloading elritercept's development costs to Takeda and completing a corporate restructuring in 2025. The company is well-positioned financially, with $257.6 million in cash and equivalents, enabling operations to continue into the first half of 2028.

In stark contrast, Takeda reported a revenue of approximately $7.5 billion in its Q1 FY2026, reflecting a 10.2% increase year-over-year, despite some challenges from mature products. The company's core earnings per share reached JPY 154 billion, and it reaffirmed a positive outlook for the year, projecting significant free cash flow. This highlights the vast difference in scale and financial health between the two companies, with Takeda benefiting from its established commercial operations and market presence.

Looking ahead, Keros's future hinges on the success of elritercept in clinical trials, which could unlock substantial milestone payments and high-margin royalties. However, the company faces risks due to its reliance on a single lead candidate and dependence on Takeda for commercial execution outside of China. For Takeda, while its steady cash flow and robust portfolio present growth opportunities, it must also navigate challenges posed by patent expirations and modest growth in certain segments. The contrasting trajectories of these two companies illustrate the high stakes and complexities in the biopharmaceutical industry.
